3. Client Responsibilities
3.1 Content and Materials
You are responsible for providing:
- All text, images, logos, and other content for your website in a timely manner
- Legal rights and permissions for all materials provided
- Accurate information about your business, products, and services
- Timely feedback and approvals at project milestones
3.2 Communication and Collaboration
Clients agree to:
- Respond to requests for information within a reasonable timeframe
- Designate a primary point of contact for the project
- Attend scheduled meetings and review sessions
- Provide constructive feedback in a timely manner
3.3 Third-Party Services
You are responsible for:
- Obtaining and maintaining your own domain name
- Providing access to necessary third-party accounts (hosting, email services, etc.)
- Paying for any third-party services required for your project
4. Payment Terms
4.1 Pricing and Invoicing
Project pricing will be outlined in your project proposal or contract. Unless otherwise specified:
- No payment is required before work begins
- Full payment (100%) is due upon project completion
- An invoice will be issued upon completion of the project
- Invoices are payable within 14 days of receipt
- Late payments may incur a 1.5% monthly interest charge
4.2 Additional Work
Work beyond the original scope will be billed separately at our standard hourly rate or as agreed upon in writing. You will be notified and must approve any additional charges before such work begins.
4.3 Refund Policy
Due to the custom nature of our services:
- No refunds will be issued for completed work
- If a project is canceled before completion, you will only be billed for work completed up to the termination date
- Any unpaid invoices for completed work remain due and payable
5. Project Timeline and Delays
We will make reasonable efforts to complete your project within the estimated timeline. However:
- Timelines are estimates and not guarantees
- Delays caused by client feedback, content delivery, or scope changes may extend the timeline
- We are not liable for delays caused by circumstances beyond our control
- Significant delays in client response (30+ days) may result in project suspension or cancellation
6. Intellectual Property Rights
6.1 Client Ownership
Upon full payment, you own:
- Custom design elements created specifically for your project
- Content you provided
- Final delivered website files and code
6.2 CraftedCode Co. Rights
CraftedCode Co. retains ownership of:
- Pre-existing code, frameworks, and development tools
- Design templates and code libraries used across multiple projects
- General methodologies and development processes
- The right to showcase your project in our portfolio (unless otherwise agreed)
6.3 Third-Party Assets
Some projects may include third-party assets (fonts, icons, stock photos, plugins) that have their own licensing terms. You are responsible for complying with these licenses.
7. Warranties and Disclaimers
7.1 Our Warranty
- Services will be performed in a professional manner
- Work will be free from defects in workmanship for 30 days after project completion
- Code will be original or properly licensed
7.2 Client Warranty
- You have legal rights to all content provided
- Your content does not infringe on third-party rights
- Information provided is accurate and not misleading
7.3 Disclaimers
EXCEPT AS EXPRESSLY PROVIDED ABOVE, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
8. Limitation of Liability
- Our total liability shall not exceed the amount paid for the specific project
- We are not liable for indirect, incidental, special, or consequential damages
- We are not liable for loss of profits, data, or business opportunities

10. Confidentiality

11. Termination
11.1 Termination by Client
- You will be billed for all work completed up to the termination date
- Payment for completed work is due within 14 days of invoice
- You will receive files and deliverables for work that has been completed and paid for
11.2 Termination by CraftedCode Co.
- Payment is not received within 30 days of invoice
- You breach these Terms
- You request illegal or unethical work
- Communication ceases for more than 30 days
12. Support and Maintenance
- Bug fixes for issues present at launch are included for 30 days
- Extended support and maintenance plans are available separately
- Emergency support may be available for additional fees
- Updates beyond original scope are billed separately
13. Website Use and Conduct
- Use the site for illegal purposes
- Attempt to hack or disrupt systems
- Upload malicious code
- Harvest data
- Impersonate others
- Spam or harass
14. Force Majeure
Neither party is liable for failure to perform due to circumstances beyond reasonable control.
15. Modifications to Terms
We reserve the right to modify these Terms at any time.
16. Governing Law
These Terms are governed by the laws of the State of Texas.
17. Severability
If any provision is unenforceable, remaining provisions remain in effect.
